ONLINE AUCTION TERMS & CONDITIONS
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE BIDDING. BY REGISTERING FOR AN AUCTION OR PLACING A BID, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS, TOGETHER WITH ANY AUCTION-SPECIFIC TERMS POSTED FOR THE PARTICULAR AUCTION.
1. AUCTIONEER AND SELLER
Auction List Services (“Auctioneer,” “ALS,” “we,” “us,” or “our”) conducts auctions on behalf of various owners and sellers (“Seller”).
Unless specifically stated otherwise, Auction List Services acts as an agent for the Seller and is not the owner of the property being sold.
Each lot offered at auction constitutes a separate sale.
2. BIDDER REGISTRATION
All bidders must register electronically before participating in an online auction.
By registering, Bidder represents and warrants that:
Bidder is at least eighteen (18) years of age;
All registration information provided is accurate, complete, and current;
Bidder is legally authorized to enter into a binding contract;
Bidder will not permit unauthorized persons to use Bidder's account; and
Bidder accepts responsibility for all bidding activity conducted through Bidder's account.
Auction List Services reserves the right, in its sole reasonable discretion and to the extent permitted by law, to approve, reject, suspend, or terminate a bidder's registration or bidding privileges.
3. BINDING EFFECT OF BIDS
A bid constitutes an offer to purchase the lot at the amount bid, subject to these Terms and Conditions, any auction-specific terms, applicable reserve requirements, and applicable law.
Once an auction or individual lot has closed and the sale has been completed to the successful Bidder in accordance with applicable law, the successful Bidder is legally obligated to complete the purchase.
A Bidder may not retract or cancel a bid after completion of the sale except where required or permitted by applicable law.
Bidder is responsible for reviewing the lot number, description, bid amount, and other information before submitting a bid.
Claims that a bid was placed accidentally, that the wrong amount was entered, or that another person used Bidder's account will not automatically release Bidder from responsibility for the bid.
4. AUCTIONS WITH RESERVE / ABSOLUTE AUCTIONS
Unless an auction or individual lot is expressly advertised as “Absolute,” “Without Reserve,” or using substantially similar language, the auction shall be considered an auction with reserve.
For an auction with reserve, the Seller and/or Auctioneer may, to the extent permitted by law, establish a reserve price and may withdraw a lot before completion of the sale.
If a lot is subject to a reserve and the reserve price is not met, neither the highest Bidder nor Seller shall be obligated to complete the transaction unless Seller elects to accept the bid.
Any auction or lot expressly advertised as an absolute auction or auction without reserve will be conducted subject to applicable law governing auctions without reserve.
5. ITEM DESCRIPTIONS – NO RELIANCE
Descriptions, photographs, videos, specifications, serial numbers, vehicle identification numbers (VINs), hours, mileage, dimensions, years, makes, models, conditions, quantities, capacities, operating information, and all other information concerning a lot are provided for convenience only.
Auction List Services and Seller make reasonable efforts to provide accurate information but DO NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY DESCRIPTION OR INFORMATION.
Auction List Services is not responsible for errors or omissions concerning, including but not limited to:
Year;
Make;
Model;
Serial number;
VIN;
Mileage;
Hours;
Odometer or hour-meter accuracy;
Dimensions;
Quantity;
Operating condition;
Mechanical condition;
Authenticity;
Genuineness;
Previous repairs;
Damage;
Missing parts;
Environmental condition; or
Any visible or hidden defect.
Photographs and videos are for identification and general reference only and may not show every defect, component, attachment, or condition affecting a lot.
6. INSPECTION
BIDDERS ARE STRONGLY ENCOURAGED TO INSPECT ALL LOTS BEFORE BIDDING.
Bidder acknowledges that Bidder has been provided an opportunity to inspect the property before bidding or has voluntarily elected not to inspect it.
Bidder is responsible for determining, through Bidder's own inspection and investigation, the condition, quality, quantity, size, specifications, suitability, authenticity, safety, and value of any lot.
Bidder acknowledges that Bidder is not relying upon any oral or written representation by Auction List Services, its employees, representatives, Seller, or any third party except to the extent a representation cannot legally be disclaimed.
Failure to inspect a lot will not, by itself, constitute grounds for cancellation, adjustment, refund, chargeback, refusal to pay, or refusal to complete the purchase.
7. AS IS – WHERE IS – WITH ALL FAULTS
ALL PROPERTY IS SOLD “AS IS, WHERE IS, WITH ALL FAULTS,” WITHOUT WARRANTY OR GUARANTEE OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT WHERE SUCH DISCLAIMER IS PROHIBITED BY LAW.
To the fullest extent permitted by applicable law, Auction List Services and Seller expressly disclaim all warranties, including but not limited to:
Any warranty of merchantability;
Any warranty of fitness for a particular purpose;
Any warranty regarding condition or quality;
Any warranty regarding operation or functionality;
Any warranty regarding safety or regulatory compliance; and
Any warranty based upon descriptions, photographs, advertising, statements, or representations.
ALL SALES ARE FINAL.
No allowance, deduction, adjustment, refund, or rescission will be made because of damage, defects, missing parts, condition, quality, operating condition, discrepancies in descriptions, Bidder's failure to inspect, or Bidder's failure to obtain information before bidding, except where otherwise required by law.
8. VEHICLES, EQUIPMENT, TITLES, MILEAGE AND HOURS
For vehicles, trailers, machinery, and equipment, Auction List Services does not guarantee the accuracy of odometer readings, hour-meter readings, VIN information, serial numbers, model years, registration status, emissions status, or other identifying information.
Mileage and hours shown in descriptions may represent only the reading appearing on the meter and are not necessarily verified actual mileage or operating hours.
Bidder is solely responsible for determining whether a vehicle, trailer, machine, or other item can be titled, registered, inspected, transported, exported, or legally operated in Bidder's intended jurisdiction.
Any available title, certificate of origin, registration, or other ownership documentation will be mailed within 2 weeks of the closing date of the auction.
9. BUYER'S PREMIUM
A buyer's premium may be added to the successful bid price.
The applicable buyer's premium, if any, will be disclosed in the auction-specific information and shall become part of the total purchase price.
By bidding, Bidder agrees to pay the applicable buyer's premium in addition to the successful bid price, sales tax, title or documentation charges where applicable, and any other disclosed charges.
10. SALES TAX
Applicable state and local sales taxes will be collected as required by law.
A Buyer claiming a sales tax exemption must provide Auction List Services with a valid and properly completed resale certificate, exempt-use certificate, or other documentation acceptable under applicable law.
Exemption documentation must be provided within the time required by Auction List Services and before payment is finalized unless otherwise approved.
Buyer is responsible for the accuracy and validity of any exemption documentation submitted.
11. AUCTION CLOSING AND EXTENDED BIDDING
Auction List Services utilizes an extended bidding feature.
If a bid is received on a lot within the final minute before its scheduled closing time, bidding on that lot will remain open for an additional three (3) minutes from the time of the most recent qualifying bid.
Additional qualifying bids received during an extension may cause the lot to remain open for additional three-minute periods.
The lot will close when the applicable extended bidding period expires without another qualifying bid.
This feature is intended to reduce last-second bidding or “sniping” and more closely replicate the competitive bidding process of a live auction.
The Auctioneer's online bidding system and electronic records shall control the determination of bid amounts, bid times, closing times, and successful bidders, absent manifest error.
12. INTERNET AND TECHNOLOGY
Online auctions depend upon internet connections, computer systems, servers, software, and third-party technology.
Auction List Services does not guarantee uninterrupted or error-free access to the bidding platform.
To the fullest extent permitted by law, Auction List Services shall not be responsible for missed bids, internet outages, connection failures, device failures, software errors, delayed transmissions, platform interruptions, or other technical problems beyond its reasonable control.
Auction List Services reserves the right to pause, extend, reopen, reschedule, or cancel bidding when reasonably necessary because of a material technical malfunction, system failure, error, or other circumstance affecting the integrity of the auction.
13. INVOICES
Successful bidders will generally receive an invoice by email no later than the next business day following the auction.
The invoice will contain the total amount due and may include payment instructions, pickup information, buyer's premium, applicable taxes, and other charges.
Failure to receive an invoice does not relieve the successful Bidder of the obligation to pay for purchases.
Bidder is responsible for ensuring that Auction List Services has a current email address and contact information.
14. PAYMENT
All purchases must be paid in full in accordance with the payment instructions and deadline stated on the invoice or auction-specific terms.
Auction List Services reserves the right to specify acceptable forms of payment for particular auctions or purchases.
NO PROPERTY WILL BE RELEASED UNTIL AUCTION LIST SERVICES HAS RECEIVED PAYMENT IN FULL IN CLEARED FUNDS.
A marked PAID INVOICE or other authorization from Auction List Services is required before property will be released.
Auction List Services may require additional identification or payment verification before releasing property.
15. CHARGEBACKS AND PAYMENT DISPUTES
A Buyer who believes an invoice contains an error must contact Auction List Services promptly before initiating a payment dispute or chargeback.
A chargeback or payment reversal does not eliminate Buyer's contractual obligations where the underlying charge was valid.
Auction List Services reserves all rights and remedies available under these Terms and applicable law to recover unpaid purchase amounts, fees, costs, and damages resulting from an improper chargeback or payment reversal.
16. DEFAULT BY BUYER
A successful Bidder will be considered in default if the Bidder fails to pay for or complete the purchase of a lot in accordance with these Terms and Conditions or the auction-specific terms.
Upon default, and subject to applicable law, Auction List Services and/or Seller may exercise one or more available remedies, including:
Canceling the sale;
Retaining any deposit to the extent legally permitted;
Offering the lot to another bidder;
Reselling the lot at public or private sale;
Suspending or permanently terminating the Bidder's bidding privileges;
Recovering any deficiency between the defaulting Bidder's purchase price and the amount received upon resale;
Recovering reasonable costs associated with resale, handling, transportation, storage, administrative expense, and collection; and
Pursuing any other remedy available under applicable law.
Where an auction-specific listing provides for a reasonable default or liquidated-damages charge, that charge shall apply subject to applicable law.
The exercise of one remedy does not waive any other lawful remedy.
17. PICKUP AND REMOVAL
Unless otherwise stated in the auction-specific terms:
ALL PURCHASED ITEMS MUST BE REMOVED WITHIN FOURTEEN (14) CALENDAR DAYS AFTER THE AUCTION CLOSING DATE.
Buyer must present a PAID INVOICE or other release authorization before removing property.
Buyer is solely responsible for all labor, tools, equipment, rigging, loading, dismantling, transportation, permits, insurance, and expenses necessary to remove purchased property unless expressly stated otherwise.
Auction List Services and Seller are not obligated to provide loading assistance.
Buyer and Buyer's employees, contractors, riggers, transporters, and agents enter the premises at their own risk and must comply with all instructions, safety requirements, and applicable laws.
Auction List Services may require proof of insurance for removal of certain machinery, structures, equipment, or other lots presenting an elevated removal risk.
18. DAMAGE DURING REMOVAL
Buyer is responsible for any damage caused during removal by Buyer or anyone acting on Buyer's behalf, including damage to buildings, doors, floors, utilities, equipment, landscaping, other lots, or property belonging to Auction List Services, Seller, or third parties.
Buyer agrees to pay the reasonable cost of repairing damage caused by Buyer's removal activities.
Auction List Services may stop removal activities that it reasonably believes are unsafe or are likely to cause property damage.
19. STORAGE FEES
Unless otherwise stated in the auction-specific terms, items not removed within fourteen (14) calendar days following the auction closing date may be subject to a storage charge of:
$25.00 PER DAY, PER LOT
beginning on the fifteenth (15th) calendar day after the auction closes.
Payment of storage charges does not automatically extend the removal deadline or guarantee continued storage availability.
Auction List Services may establish a different storage rate or removal deadline in the auction-specific terms when the nature, size, location, or circumstances of the property require it.
20. UNCLAIMED PROPERTY
Property that has been paid for but is not removed within the required removal period may be considered unclaimed property.
To the fullest extent permitted by applicable law and after any notice required by law, Auction List Services and/or Seller may relocate, store, dispose of, or resell unclaimed property.
Buyer shall remain responsible for lawful storage, relocation, handling, disposal, and other reasonable costs incurred because of Buyer's failure to timely remove the property.
This section shall be applied only to the extent permitted by applicable law.
21. RISK AFTER PURCHASE
Buyer is responsible for arranging prompt pickup and removal.
Except to the extent caused by conduct for which liability cannot legally be disclaimed, Auction List Services and Seller shall not be liable for deterioration, weather exposure, vandalism, theft, damage, or loss occurring because Buyer fails to timely remove purchased property.
22. SAFETY AND HAZARDOUS CONDITIONS
Machinery, vehicles, electrical equipment, industrial equipment, structures, attachments, and other auction property may be dangerous.
Auction List Services makes no representation that any item complies with OSHA requirements, manufacturer safety standards, environmental requirements, roadworthiness standards, emissions requirements, or other governmental regulations.
Buyer is responsible for inspecting, repairing, servicing, guarding, and otherwise making purchased property safe and legally compliant before operation or use.
23. AUCTIONEER'S DISCRETION AND DISPUTED BIDS
To the extent permitted by law, Auction List Services may reject or disregard bids that it reasonably believes result from fraud, mistake, collusion, technical malfunction, manipulation, or other conduct that threatens the integrity of the auction.
In the event of a bidding dispute or material system error, Auction List Services may take reasonable action consistent with applicable law, including reopening bidding or canceling an affected transaction when legally permitted.
24. LIMITATION OF LIABILITY
Auction List Services shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in an auction, use of the bidding platform, purchase of a lot, inability to use purchased property, or errors in auction information.
25. INDEMNIFICATION
Buyer agrees to indemnify and hold harmless Auction List Services, property owner, and their respective officers, employees, agents, and representatives from claims, damages, losses, liabilities, and reasonable costs arising from Buyer's possession, transportation, removal, dismantling, loading, operation, use, resale, or disposal of purchased property.
26. AUCTION-SPECIFIC TERMS
Individual auctions may contain additional or different terms concerning payment, buyer's premium, sales tax, removal, storage, titles, deposits, loading, rigging, reserve prices, or other matters.
27. ACCEPTANCE OF TERMS
BY REGISTERING TO BID OR PLACING A BID, BIDDER ACKNOWLEDGES THAT BIDDER HAS READ, UNDERSTANDS, AND AGREES TO THESE TERMS AND CONDITIONS.
Bidder further acknowledges that Bidder has had an opportunity to inspect the property, ask questions, review auction-specific information, and obtain independent professional advice before bidding.
